The ground rules for using this website and working with FAcode.

These Terms & Conditions ("Terms") govern your use of the website of FAcode Software Solutions Pvt Ltd ("FAcode", "we", "us"), Pune, Maharashtra, India, and set out the general basis on which we provide software development and related services. By using this website or engaging our services, you accept these Terms.

1. Use of this website

You may browse this website and use the contact facilities for lawful purposes. You agree not to misuse the site — including attempting to gain unauthorised access, submitting spam through our forms, or scraping content for republication without permission.

2. Quotes and proposals

Quotes provided through our website, email, phone, or WhatsApp are estimates based on the information available at the time and remain valid for 30 days unless stated otherwise. A quote becomes binding only when both parties sign a written proposal or service agreement covering scope, deliverables, timeline, and payment terms.

3. Services and deliverables

  • Each engagement is defined by its own written scope of work. Work outside that scope is quoted separately before it begins.
  • Timelines are estimates made in good faith. We will inform you promptly if a milestone is at risk and propose corrective steps.
  • Client responsibilities — timely feedback, content, credentials, and approvals — are part of every schedule; delays on either side may shift delivery dates proportionally.

4. Payments

  • Unless agreed otherwise, projects are invoiced against milestones defined in the proposal, typically with an advance payment before work begins.
  • Invoices are payable within 14 days unless the proposal specifies a different term.
  • We may pause work on accounts with overdue invoices after written notice.

5. Intellectual property

  • Upon full and final payment, ownership of the custom code, designs, and other deliverables created specifically for your project transfers to you.
  • Open-source components remain subject to their respective licences; we identify significant ones on request.
  • We retain the right to reuse general knowledge, techniques, and non-client-specific tooling developed during an engagement.
  • With your permission, we may reference the project (without confidential details) in our portfolio. You may decline or revoke this at any time.

6. Confidentiality

We treat all non-public information you share with us as confidential, whether or not a separate non-disclosure agreement (NDA) is in place. We are happy to sign your NDA, or provide ours, before any detailed discussion.

7. Warranties and support

We warrant that deliverables will materially conform to the agreed specification at handover. Defects reported within 30 days of launch are fixed free of charge. Ongoing maintenance, feature additions, and support beyond this period are available under separate maintenance agreements.

8. Limitation of liability

To the maximum extent permitted by law, FAcode's total liability arising out of any engagement is limited to the fees actually paid for the specific services giving rise to the claim. We are not liable for indirect or consequential losses, including loss of profits, data, or business opportunity. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Third-party services

Projects often depend on third-party services (hosting providers, app stores, payment gateways, APIs). We integrate and configure these with care, but we are not responsible for their availability, pricing changes, or policy decisions.

10. Termination

Either party may terminate an engagement with 14 days' written notice. On termination, you pay for work completed up to the termination date, and we hand over all paid-for deliverables and materials in their current state.

11. Governing law

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

12. Changes to these terms

We may update these Terms from time to time. The version published on this page at the time you engage our services is the version that applies to that engagement.
